1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Recycapple LLC, an Ohio Limited Liability Company ("Company," "we," "us," or "our"), concerning your access to and use of the Wick Metrics platform ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration

To use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update account information to keep it accurate and current
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account. You are responsible for maintaining the confidentiality of your password.

3. Subscription and Payment

3.1 Subscription Plans: The Service is provided on a subscription basis. Pricing and plan details are available on our website and may change with notice.

3.2 Payment Terms: Subscription fees are charged in advance on a recurring basis (monthly or annually as selected). All fees are non-refundable except as required by law or as explicitly stated in these Terms.

3.3 Free Trial: We may offer a free trial period. At the end of the trial, your subscription will automatically begin unless you cancel before the trial ends.

3.4 Automatic Renewal: Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.

3.5 Cancellation: You may cancel your subscription at any time. Upon cancellation, you retain access until the end of your current billing period.

4. Data Ownership and Privacy

4.1 Your Data: You retain all rights to the data you input into the Service ("User Data"). You grant us a limited license to use, store, and process User Data solely to provide the Service.

4.2 Data Security: We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

4.3 Data Isolation: Your data is isolated from other users and accessible only to you and authorized users on your account.

4.4 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Acceptable Use

You agree not to:

6.3 Trademarks: "Wick Metrics" and associated logos are trademarks of Recycapple LLC. You may not use our trademarks without written permission.

7. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. You use the Service at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECYCAPPLE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Recycapple LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising from your use of the Service or violation of these Terms.

10. Termination

10.1 By You: You may terminate your account at any time by canceling your subscription through the Service.

10.2 By Us: We may suspend or terminate your account if you violate these Terms or for any reason with notice.

10.3 Effect of Termination: Upon termination, your right to use the Service immediately ceases. We will retain your data for 90 days after termination, after which it may be permanently deleted.

11. Dispute Resolution and Governing Law

11.1 Governing Law: These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law provisions.

11.2 Venue: Any legal action arising from these Terms must be filed in the state or federal courts located in Ohio.

11.3 Informal Resolution: Before filing a claim, you agree to contact us at support@wickmetrics.com to attempt to resolve the dispute informally.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
